1 Agreement to These Terms

Welcome to Novaloom.

These Terms of Service ("Terms", "Agreement", or "Terms of Service") govern your access to and use of Novaloom's websites, applications, APIs, dashboards, software, publisher monetization infrastructure, advertising technology, marketplace functionality, analytics, and related services (collectively, the "Services").

By creating an account, accessing the Services, connecting a third-party account, adding a website or advertising inventory, entering into a commercial arrangement with Novaloom, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of a company, organization, publisher, advertiser, agency, or other legal entity, you represent that you have authority to bind that entity to these Terms.

2 About Novaloom

Novaloom is designed as a publisher intelligence and monetization operations platform.

Depending on the applicable product, account, permissions, integrations, and commercial arrangements, the Services may provide functionality including:

  • website and inventory management;
  • publisher analytics;
  • traffic and quality intelligence;
  • advertising inventory management;
  • monetization decisioning;
  • monetization execution;
  • demand and fill intelligence;
  • header bidding integrations;
  • Open Bidding integrations where authorized;
  • SSP and exchange integrations;
  • alternative demand integrations;
  • direct advertiser and agency demand;
  • owned-media or agency campaigns;
  • native and video monetization;
  • marketplace and deal-management functionality;
  • revenue and yield analytics;
  • AI-assisted recommendations;
  • workflow automation;
  • partner APIs;
  • reporting and reconciliation; and
  • other related advertising technology services.

Not every feature is available to every user, organization, website, geographic region, product, or account.

3 Definitions

For purposes of these Terms:

"Novaloom", "we", "us", or "our"

means Novaloom and its applicable operating entities.

"User", "you", or "your"

means the person accessing or using the Services.

"Publisher"

means a person or organization that owns, operates, controls, or is otherwise authorized to monetize digital properties or advertising inventory.

"Website"

means a website, domain, application, digital property, or other property connected to the Services.

"Inventory"

means advertising placements, impressions, opportunities, or other monetizable digital advertising supply made available through the Services.

"Demand Partner"

means an advertising platform, SSP, exchange, network, advertiser, agency, buyer, or other approved source of advertising demand.

"Direct Deal"

means an advertising transaction or commercial arrangement directly or indirectly negotiated between eligible parties through or with the assistance of the Services.

"Marketplace"

means Novaloom functionality through which eligible participants may discover, propose, negotiate, approve, manage, or measure commercial opportunities.

"Third-Party Service"

means an external platform, service, API, advertising provider, analytics provider, payment provider, or other technology not operated by Novaloom.

"Content"

means text, images, video, audio, software, data, advertisements, creative materials, trademarks, and other material submitted to or displayed through the Services.

4 Eligibility

You may use the Services only if:

  • you are legally capable of entering into a binding agreement;
  • you comply with these Terms;
  • you comply with applicable laws and regulations;
  • you have authority to act for any organization you represent;
  • you have the necessary rights to the websites and inventory you submit;
  • your use of the Services does not violate third-party agreements; and
  • you satisfy any additional eligibility requirements applicable to the relevant product or partner.

Certain Services may have additional eligibility criteria relating to traffic, content, geography, inventory, advertising policies, payment history, business identity, or contractual requirements.

5 Account Registration

Certain Services require an account.

You agree to provide accurate, current, and complete information when creating and maintaining your account.

You are responsible for:

  • maintaining accurate account information;
  • maintaining the security of your credentials;
  • protecting authentication tokens;
  • restricting unauthorized account access;
  • maintaining appropriate user permissions; and
  • notifying Novaloom of suspected unauthorized access.

You must not share credentials in a manner that creates unauthorized access or circumvents account permissions.

Novaloom may require identity, business, ownership, or account verification before providing certain Services.

6 Organizations, Users and Permissions

Novaloom may support organizations with multiple users, roles, memberships, permissions, and feature entitlements.

Organization administrators are responsible for:

  • inviting authorized users;
  • assigning appropriate permissions;
  • removing users who no longer require access;
  • maintaining accurate organizational information;
  • protecting organization-level credentials and integrations; and
  • ensuring that users comply with these Terms.

Actions performed by an authorized organization user may be treated as actions of the organization, subject to applicable law and contractual arrangements.

7 Publisher and Website Ownership

You may connect a website, application, domain, advertising account, or inventory to Novaloom only if you have the legal or contractual authority to do so.

You represent and warrant that:

  • you own or are authorized to manage the relevant property;
  • you have the right to monetize the relevant inventory;
  • you have authority to connect applicable advertising accounts;
  • you will not submit another person's inventory without authorization;
  • the information supplied to Novaloom is accurate; and
  • your use of the inventory complies with applicable agreements and policies.

Novaloom may request evidence of ownership or authorization.

8 Third-Party Advertising Platforms and Integrations

Novaloom may integrate with third-party services, including advertising platforms, analytics systems, payment providers, SSPs, exchanges, demand partners, and other technology providers.

Your use of a Third-Party Service may be subject to that provider's:

  • terms of service;
  • publisher policies;
  • advertising policies;
  • privacy requirements;
  • technical requirements;
  • eligibility requirements;
  • contractual restrictions;
  • payment terms; and
  • other applicable rules.

Connecting a Third-Party Service to Novaloom does not replace or override your obligations to that provider.

You remain responsible for complying with applicable third-party requirements.

9 Google, GAM and OAuth Integrations

Where Novaloom supports Google or other OAuth integrations, you authorize Novaloom to access the information and functionality permitted through the applicable authorization.

Depending on the integration, this may include:

  • account information;
  • website or property information;
  • analytics information;
  • advertising information;
  • reporting information;
  • configuration information; or
  • other information permitted by the applicable API scopes.

Novaloom will use authorized integrations for the purposes described in the relevant Service.

You may revoke an OAuth connection through the relevant third-party service, subject to that provider's procedures.

Revoking access may prevent Novaloom from providing functionality that depends on the integration.

10 Monetization Services

Novaloom may provide technology for managing or coordinating multiple monetization routes.

These may include:

  • Google Ad Manager-related functionality;
  • SSP demand;
  • exchange demand;
  • header bidding;
  • Open Bidding where authorized;
  • alternative advertising networks;
  • managed demand;
  • native advertising;
  • video advertising;
  • direct advertiser demand;
  • agency demand;
  • owned-media campaigns;
  • marketplace transactions;
  • fallback monetization; and
  • other approved monetization routes.

The availability of a monetization route does not guarantee that the route will be available for every publisher, website, inventory type, traffic source, geography, or account.

11 No Guaranteed Advertising Approval

Novaloom does not guarantee that:

  • a publisher will be approved by any advertising platform;
  • a publisher will be approved by a particular demand partner;
  • an account will remain approved;
  • inventory will remain eligible;
  • a website will receive advertising demand;
  • an advertising account will remain active;
  • a third party will authorize an integration;
  • a demand partner will accept a particular inventory source; or
  • a third party will continue offering a particular service.

Each third-party provider independently determines its own eligibility and policy requirements.

12 No Circumvention of Third-Party Policies

Novaloom must not be used to circumvent, evade, manipulate, or bypass the policies, eligibility requirements, technical restrictions, contractual restrictions, or enforcement mechanisms of another platform.

For example, you must not use Novaloom to:

  • disguise prohibited traffic;
  • conceal prohibited content;
  • misrepresent website ownership;
  • circumvent an advertising-platform suspension;
  • create misleading account structures;
  • manipulate advertising measurements;
  • evade traffic-quality controls;
  • circumvent demand-partner restrictions;
  • misrepresent the source of inventory; or
  • otherwise defeat a third party's legitimate controls.

A publisher's rejection by one advertising platform does not automatically establish eligibility with another platform.

13 Traffic Quality and Invalid Traffic

Because Novaloom operates within the digital advertising ecosystem, the Services may evaluate traffic-quality signals and detect potentially invalid, fraudulent, automated, or suspicious activity.

You must not intentionally generate, purchase, manipulate, or facilitate traffic for the purpose of:

  • generating artificial advertising revenue;
  • manipulating impressions;
  • manipulating clicks;
  • manipulating conversions;
  • defeating traffic-quality systems;
  • misleading advertisers;
  • misleading demand partners; or
  • otherwise creating artificial advertising activity.

Prohibited activity may result in restrictions, suspension, termination, revenue adjustments, or other action permitted under these Terms and applicable agreements.

14 Advertising Content and Website Content

You are responsible for all Content you submit, publish, display, or monetize through the Services.

You must not use the Services in connection with Content that:

  • violates applicable law;
  • infringes intellectual-property rights;
  • violates applicable advertising policies;
  • contains malicious software;
  • facilitates fraud;
  • promotes illegal activity;
  • violates applicable platform restrictions;
  • contains unlawful personal information;
  • intentionally misleads users or advertisers; or
  • otherwise violates these Terms.

Additional restrictions may apply to specific advertising partners or demand sources.

15 Advertising Inventory Standards

You must ensure that advertising inventory submitted to Novaloom is:

  • legitimately controlled by you or your organization;
  • accurately represented;
  • technically valid;
  • appropriately labeled where required;
  • compliant with applicable advertising policies;
  • compliant with privacy and consent requirements;
  • free from intentional artificial manipulation; and
  • suitable for the applicable demand source.

Novaloom may restrict inventory that does not satisfy applicable requirements.

16 Header Bidding and Open Bidding

Where supported and authorized, Novaloom may facilitate or coordinate header bidding or Open Bidding functionality.

Such functionality may depend on:

  • publisher eligibility;
  • advertising-platform approval;
  • demand-partner approval;
  • technical implementation;
  • consent requirements;
  • contractual permissions;
  • inventory configuration;
  • traffic quality;
  • geographic requirements;
  • latency requirements; and
  • other applicable conditions.

You must not configure header bidding or Open Bidding in a manner that violates the applicable platform's policies or contractual requirements.

Novaloom may disable an integration if it reasonably determines that continued operation presents compliance, security, technical, or commercial risk.

17 Demand Partners

Novaloom may make demand sources available through approved integrations.

Demand partners may independently determine:

  • whether they accept your inventory;
  • which inventory is eligible;
  • which geographic regions are eligible;
  • which formats are eligible;
  • which traffic sources are eligible;
  • which contractual structures are permitted;
  • applicable revenue shares or fees;
  • payment terms;
  • reporting rules; and
  • suspension or termination conditions.

Novaloom does not guarantee the continued availability, performance, pricing, fill, or approval of any particular demand partner.

18 Direct Deals and Advertiser/Agency Transactions

Novaloom may provide functionality for direct advertiser and agency transactions.

Depending on the applicable Service, Novaloom may assist with:

  • inventory discovery;
  • inventory packaging;
  • proposals;
  • deal creation;
  • campaign configuration;
  • targeting;
  • pricing;
  • pacing;
  • delivery;
  • measurement;
  • reporting;
  • reconciliation; and
  • billing-related information.

Unless expressly agreed otherwise, Novaloom is not automatically the advertiser, agency, publisher, or buyer in a Direct Deal.

The parties to a Direct Deal remain responsible for their respective contractual obligations.

19 Marketplace

Novaloom may operate a marketplace through which eligible participants can discover, propose, approve, manage, or transact around advertising opportunities.

Marketplace visibility does not automatically create a right to access inventory.

Inventory access may require:

  • publisher approval;
  • organizational authorization;
  • contractual approval;
  • campaign approval;
  • privacy compliance;
  • policy eligibility;
  • technical eligibility; and
  • other required permissions.

Novaloom may limit, suspend, or remove marketplace access where required for compliance, security, commercial, or operational reasons.

20 Commercial Terms and Revenue Share

Some Services may be provided under separate commercial terms, order forms, contracts, pricing plans, revenue-share arrangements, or partner agreements.

If a separate written agreement conflicts with these Terms regarding a specific commercial matter, the applicable written agreement may control that matter to the extent expressly stated.

Fees, revenue shares, commissions, minimums, payment schedules, and other commercial terms may vary by:

  • product;
  • publisher;
  • organization;
  • demand source;
  • service level;
  • geography;
  • inventory;
  • contract; or
  • commercial arrangement.

21 Payments and Payouts

Where Novaloom provides payment or payout functionality, payments are subject to the applicable Payment Terms and any separate commercial agreement.

You may be required to provide:

  • legal name;
  • business information;
  • tax information;
  • payment information;
  • identity verification information; and
  • other information necessary to process payments.

Payments may be delayed, withheld, adjusted, reversed, or offset where reasonably necessary to address:

  • fraud;
  • invalid traffic;
  • chargebacks;
  • disputed transactions;
  • reconciliation differences;
  • legal obligations;
  • third-party payment restrictions;
  • contractual disputes; or
  • other circumstances permitted by the applicable agreement or law.

22 Revenue and Performance Information

Novaloom may display revenue, RPM, eCPM, fill rate, impressions, clicks, conversions, yield, forecasts, estimates, or other performance metrics.

These values may originate from different systems and may change as:

  • third-party reporting is updated;
  • reconciliation occurs;
  • invalid traffic is identified;
  • advertisers or platforms make adjustments;
  • billing is finalized; or
  • data is corrected.

Displayed estimates are not necessarily final accounting values.

You should not treat Novaloom's analytics as a substitute for your own accounting records unless expressly agreed in writing.

23 AI, Recommendations and Automation

Novaloom may provide AI-powered or automated features, including:

  • recommendations;
  • forecasts;
  • anomaly detection;
  • traffic analysis;
  • demand ranking;
  • yield analysis;
  • optimization suggestions;
  • workflow automation;
  • publisher copilots; and
  • other decision-support functionality.

AI-generated or automated outputs may contain errors, omissions, uncertainty, or inaccurate assumptions.

AI functionality does not guarantee revenue, performance, eligibility, traffic quality, demand, or business outcomes.

Unless expressly stated otherwise, AI recommendations do not independently authorize actions that are restricted by applicable policies, permissions, contracts, or account controls.

You remain responsible for reviewing and approving actions where the applicable Service requires human approval.

24 Service Availability

Novaloom will use reasonable efforts to operate reliable Services.

However, the Services may be unavailable or degraded due to:

  • maintenance;
  • software defects;
  • infrastructure failures;
  • cloud-provider outages;
  • network failures;
  • cybersecurity incidents;
  • third-party API failures;
  • advertising-platform outages;
  • demand-partner outages;
  • force majeure events;
  • regional disruptions; or
  • other circumstances outside Novaloom's reasonable control.

Novaloom does not guarantee uninterrupted or error-free availability unless a separate written SLA expressly provides otherwise.

25 Third-Party Services

The Services may depend on third-party systems.

Novaloom is not responsible for:

  • third-party outages;
  • third-party policy changes;
  • third-party account suspensions;
  • third-party API changes;
  • third-party pricing changes;
  • third-party reporting differences;
  • third-party security incidents outside Novaloom's control; or
  • third-party termination of services.

Where technically feasible, Novaloom may provide alternative routes or fallback functionality, but no fallback is guaranteed.

26 Changes to Services

Novaloom may modify, add, remove, suspend, or discontinue features from time to time.

Changes may be necessary because of:

  • technical development;
  • security requirements;
  • legal or regulatory requirements;
  • third-party changes;
  • advertising-platform changes;
  • commercial considerations;
  • product evolution; or
  • operational requirements.

Material contractual changes will be handled in accordance with applicable law and the relevant agreement.

27 Intellectual Property

The Services and their underlying technology are owned by or licensed to Novaloom and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms or a separate written agreement, you may not:

  • copy the Services;
  • reproduce proprietary interfaces;
  • reverse engineer the Services;
  • decompile or disassemble software;
  • attempt to obtain source code;
  • create derivative works;
  • resell unauthorized access;
  • remove proprietary notices;
  • scrape restricted platform data;
  • interfere with platform operation; or
  • use Novaloom intellectual property outside the permitted scope.

28 Your Content

You retain ownership of Content that you submit to Novaloom, subject to the rights necessary for Novaloom to provide the Services.

You grant Novaloom a limited, non-exclusive, worldwide license to host, process, reproduce, transmit, modify as technically necessary, display, and otherwise use your Content solely as reasonably necessary to:

  • provide the Services;
  • operate integrations;
  • deliver advertising functionality;
  • provide analytics;
  • process transactions;
  • maintain security;
  • perform reporting;
  • comply with legal obligations;
  • fulfill applicable contractual arrangements.

You represent that you have the rights necessary to grant this license.

29 Feedback

If you provide suggestions, ideas, recommendations, feature requests, or other feedback concerning Novaloom, you grant Novaloom the right to use that feedback without compensation or obligation to you, subject to applicable confidentiality obligations.

Feedback does not transfer ownership of your underlying confidential information or intellectual property.

30 Confidentiality

If Novaloom and you enter into a separate confidentiality or nondisclosure agreement, that agreement governs confidential information covered by it.

You must not disclose Novaloom's non-public information except where authorized or legally required.

Similarly, Novaloom will handle customer confidential information according to applicable agreements and law.

31 Privacy

Your use of the Services is also subject to the Novaloom Privacy Policy.

The Privacy Policy explains how Novaloom collects, uses, discloses, stores, and protects personal data.

Where you process personal data through the Services on behalf of others, you remain responsible for your obligations as applicable under privacy and data-protection laws.

32 Security Requirements

You must not:

  • attempt unauthorized access;
  • bypass authentication;
  • circumvent authorization;
  • exploit security vulnerabilities without authorization;
  • introduce malware;
  • interfere with platform infrastructure;
  • conduct denial-of-service attacks;
  • abuse APIs;
  • use credentials belonging to another person without authorization;
  • extract restricted data; or
  • otherwise compromise the security of the Services.

You must promptly notify Novaloom of suspected security vulnerabilities or unauthorized access through an appropriate support or security channel.

33 API Usage

Where Novaloom provides APIs, your use of those APIs is subject to:

  • authentication requirements;
  • authorization scopes;
  • rate limits;
  • quotas;
  • technical documentation;
  • versioning requirements;
  • acceptable-use restrictions;
  • data-access restrictions; and
  • applicable contracts.

You must not intentionally circumvent API limits or use an API to obtain information beyond your authorized scope.

Novaloom may suspend API access where necessary to protect the platform or comply with applicable requirements.

34 Prohibited Activities

You must not use the Services to:

1. violate applicable law;

2. infringe intellectual-property rights;

3. submit false ownership information;

4. misrepresent traffic sources;

5. generate artificial advertising activity;

6. manipulate advertising metrics;

7. distribute malware;

8. conduct unauthorized security testing;

9. evade advertising-platform restrictions;

10. circumvent account suspensions;

11. interfere with auctions or demand systems;

12. manipulate marketplace transactions;

13. impersonate another person or organization;

14. access another customer's information without authorization;

15. scrape restricted information;

16. abuse APIs;

17. upload unlawful Content;

18. violate privacy rights;

19. facilitate fraud;

20. interfere with platform operations;

21. circumvent Novaloom permissions;

22. use Novaloom to violate a third-party agreement; or

23. engage in any activity that creates material security, legal, advertising-policy, or ecosystem risk.

35 Monitoring and Enforcement

Novaloom may use automated systems, manual review, analytics, security controls, and other mechanisms to detect violations or risks.

Where permitted by law and applicable agreements, Novaloom may:

  • request additional information;
  • request ownership verification;
  • restrict features;
  • restrict inventory;
  • pause monetization;
  • suspend integrations;
  • suspend accounts;
  • hold or adjust payments where permitted;
  • remove Content;
  • terminate Services; or
  • take other appropriate action.

Novaloom's enforcement decisions may consider:

  • policy violations;
  • security risks;
  • invalid traffic;
  • fraud;
  • third-party restrictions;
  • contractual violations;
  • legal requirements;
  • payment risks; and
  • operational integrity.

36 Suspension

Novaloom may temporarily suspend access where reasonably necessary to:

  • protect the Services;
  • investigate suspected abuse;
  • address security incidents;
  • comply with law;
  • comply with third-party requirements;
  • investigate invalid traffic;
  • prevent financial or advertising fraud;
  • address payment issues;
  • enforce contractual requirements; or
  • protect customers, partners, advertisers, publishers, or users.

Where appropriate, Novaloom may provide notice and an opportunity to address the issue.

Immediate action may be taken where delay could create significant security, legal, financial, or ecosystem risk.

37 Termination

You may terminate your account subject to any applicable contractual obligations.

Novaloom may terminate or discontinue your access where permitted by these Terms, applicable law, or a separate agreement.

Upon termination:

  • access may be disabled;
  • integrations may be disconnected;
  • active campaigns or monetization routes may be stopped;
  • outstanding obligations may remain payable;
  • applicable data-retention requirements may continue;
  • audit and transaction records may be retained where necessary; and
  • provisions intended to survive termination will remain effective.

38 Effect of Third-Party Termination

Termination or suspension by a third-party advertising platform, demand partner, payment provider, analytics provider, or other service may affect Novaloom's ability to provide certain functionality.

Novaloom does not guarantee that an alternative provider will be available.

39 Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis unless expressly stated otherwise in a written agreement.

Novaloom does not guarantee:

  • specific revenue;
  • specific earnings;
  • specific RPM or eCPM;
  • specific fill rates;
  • specific traffic levels;
  • advertiser demand;
  • continuous advertising delivery;
  • approval by third parties;
  • continued access to any advertising platform;
  • uninterrupted operation;
  • error-free operation;
  • specific business results;
  • uninterrupted marketplace activity;
  • specific AI recommendations; or
  • specific monetization performance.

Third-party services, advertising platforms, demand partners, and market conditions may materially affect results.

40 No Professional Advice

Information provided through Novaloom, including analytics, forecasts, AI recommendations, optimization suggestions, financial metrics, traffic assessments, or operational recommendations, is provided for informational and operational purposes.

Unless expressly stated otherwise, it does not constitute:

  • legal advice;
  • tax advice;
  • accounting advice;
  • financial advice;
  • investment advice;
  • regulatory advice; or
  • professional advice.

You should obtain appropriate professional advice where necessary.

41 Limitation of Liability

To the maximum extent permitted by applicable law, Novaloom will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Services, including loss of:

  • revenue;
  • profits;
  • advertising demand;
  • business opportunities;
  • data;
  • goodwill;
  • anticipated savings; or
  • business interruption.

Where permitted by applicable law, Novaloom's aggregate liability arising from the Services will be limited to the amount paid by you to Novaloom for the applicable Services during the period specified in the applicable commercial agreement, or, where no such agreement exists, an appropriate legally permissible limitation determined under applicable law.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

42 Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Novaloom and its affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from or related to:

  • your violation of these Terms;
  • your Content;
  • your website or inventory;
  • your traffic sources;
  • your violation of third-party policies;
  • your infringement of another person's rights;
  • your unlawful use of the Services;
  • your breach of applicable privacy requirements;
  • your advertising activities; or
  • your contractual relationship with another party.

The specific indemnification obligations applicable to enterprise customers may be governed by a separate written agreement.

43 Force Majeure

Novaloom will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • governmental action;
  • telecommunications failures;
  • internet failures;
  • cloud-provider failures;
  • widespread cybersecurity incidents;
  • infrastructure failures;
  • labor disputes;
  • pandemics;
  • energy disruptions; or
  • other events beyond reasonable control.

44 Governing Law and Dispute Resolution

These Terms will be governed by the laws specified in the applicable Novaloom commercial agreement or, where no separate agreement exists, by the laws of the jurisdiction in which the applicable Novaloom contracting entity is established, subject to mandatory provisions of applicable law.

Any dispute-resolution procedure, arbitration requirement, jurisdiction, venue, or governing-law provision contained in a separate written agreement will control to the extent applicable.

Nothing in this section limits mandatory consumer or statutory rights that cannot legally be waived.

45 Changes to These Terms

Novaloom may update these Terms from time to time.

Changes may be made to reflect:

  • new Services;
  • changes to technology;
  • changes to advertising integrations;
  • changes to marketplace functionality;
  • security requirements;
  • legal or regulatory requirements;
  • changes to commercial arrangements; or
  • other business or operational developments.

The updated Terms will be posted with a revised "Last Updated" date.

Where required by law or contract, Novaloom will provide additional notice of material changes.

46 Assignment

Novaloom may assign or transfer these Terms in connection with:

  • corporate restructuring;
  • sale of assets;
  • financing;
  • reorganization; or
  • transfer to an affiliate or successor entity.

47 Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.

48 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

A waiver must be expressly provided to be effective.

49 Entire Agreement

These Terms, together with applicable:

  • order forms;
  • service agreements;
  • data-processing agreements;
  • partner agreements;
  • publisher agreements; and
  • other expressly incorporated documents

constitute the applicable agreement governing your use of the Services.

Where a separate written agreement expressly governs a specific subject matter, that agreement will control to the extent of any conflict.
